Terms of Service
1. Acceptance
These Terms are a binding agreement between you and Gemwatt ("Gemwatt", "we"). By creating an account, connecting a vehicle or using the app or website (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 and legally able to enter a contract.
2. The Service
Gemwatt provides analytics about your electric vehicle, such as battery health estimates, efficiency, trips, charging history and cost. Features may change, and some may be offered in a pre-release or beta form that can be incomplete or inaccurate.
3. Independence from car makers
Gemwatt is an independent product. It is not affiliated with, endorsed by, sponsored by or approved by Tesla, Inc. or any other vehicle manufacturer. Tesla and other names and marks are the property of their owners and are used only to identify compatibility.
4. Your car and account
- You may connect only a vehicle you own or are authorized to use, and only with the permission of its account holder.
- You connect through the car maker's official sign-in. We never ask for or store your car maker password. You can revoke access at any time in your car maker account or in the app.
- The Service depends on the car maker's systems and its programme for third-party apps. The car maker may change, limit, charge for, or end access at any time, and your use of its systems is also subject to its own terms. We are not responsible for such changes, and the Service may be reduced or unavailable as a result.
- Keep your device and account secure. You are responsible for activity under your account.
5. Information only; estimates
- The Service is provided for information. Do not rely on it for safety, navigation, legal, financial, warranty or insurance decisions.
- Battery health, range, efficiency, costs and similar figures are estimates calculated from available data, which may be incomplete, delayed or wrong. They are not measurements and may differ from the figures shown by your vehicle or the manufacturer.
- Costs depend on the prices you enter or defaults we assume, and may differ from your actual bills.
- Do not use the app while driving. Always follow traffic laws and your vehicle's own instructions and warnings.
6. Read-only
Gemwatt only reads and analyses data. It cannot lock or unlock, start or stop charging, change the climate settings, wake the car or otherwise control your vehicle, and nothing in the Service should be understood as a way to operate it.
7. Subscriptions and payments
- Pricing: not final yet. It will be published before launch, and no paid plan applies until then.
- Paid plans are billed through the Apple App Store, Google Play or another stated provider, are charged per connected vehicle where indicated, and renew automatically until cancelled. Cancel at least 24 hours before renewal in your store account settings.
- Free trials, if any, convert to paid plans unless cancelled.
- Refunds are handled by the store under its policy and by applicable consumer law. Nothing here limits mandatory rights, including statutory withdrawal rights (for example under Israeli or EU consumer law).
- We may change prices with advance notice. Taxes may apply.
8. Acceptable use
You agree not to: misuse or overload the Service or the car maker's systems; bypass limits, security or access controls; reverse engineer or copy the app except as the law allows; scrape or resell data; share your account; connect vehicles you are not authorized to access; use the Service unlawfully, or to harm, harass or track another person without their consent.
9. Your data
You keep your rights in your data. You grant us a limited licence to process it to provide, secure and improve the Service as described in the Privacy Policy. We may create aggregated or de-identified statistics that cannot reasonably identify you. You can disconnect and delete your data as described on our deletion page.
10. Intellectual property
The Service, including the app, software, designs, graphics, name and logo, belongs to Gemwatt or its licensors and is protected by law. We grant you a personal, limited, revocable, non-transferable licence to use the app for your own non-commercial purposes under these Terms. If you send feedback, you allow us to use it without obligation to you.
11. Third parties
The Service may link to or depend on third-party services (app stores, the car maker, hosting providers). We do not control them and are not responsible for them. If you download the app from Apple or Google, they are not parties to these Terms and have no support or warranty obligations for it; they are third-party beneficiaries who may enforce the Terms against you as required by their rules.
12. Availability, changes and termination
We aim for a reliable Service but do not promise it will be uninterrupted or error-free. We may modify, suspend or end any part of the Service. You may stop using it at any time. We may suspend or terminate your access if you breach these Terms, if the law or the car maker requires it, or to protect the Service or others. On termination your right to use the app ends; sections that by their nature should survive will survive.
13. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that estimates are accurate or that the Service will meet your needs.
14. Limitation of liability
To the fullest extent permitted by law, Gemwatt and its owners, officers, employees and suppliers are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or vehicle value, arising from your use of or inability to use the Service. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim and US$50. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including for death or personal injury caused by negligence, fraud, or mandatory consumer rights.
15. Governing law and disputes
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The courts of Israel have exclusive jurisdiction, except that mandatory consumer rights to use the courts and laws of your country of residence remain unaffected.
16. General
- Changes: we may update these Terms. For material changes we will give reasonable notice, and continued use after the effective date means you accept them.
- Entire agreement; severability; no waiver: these Terms and the Privacy Policy are the whole agreement. If a provision is unenforceable, the rest stays in force. Not enforcing a right is not a waiver.
- Assignment: you may not transfer these Terms without our consent. We may assign them in a reorganization or sale.
